By accessing or using EvalPilot ("Service"), operated by Latent Ventures LLC, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not use the Service.
These Terms apply to all users, including free and paid subscribers.
EvalPilot is a prompt evaluation platform that helps you test, compare, and improve AI prompts through automated evaluation suites. The Service includes:

We reserve the right to suspend or terminate accounts that violate these Terms.
The free tier includes limited evaluations and features as described on our pricing page. Free tier availability and limits may change at our discretion.
Paid plans (Pro and Team) are billed monthly through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.
We may change subscription pricing with 30 days' notice. Price changes will take effect at your next billing cycle.
Subscriptions are non-refundable except where required by law. You may cancel at any time to prevent future charges.
Evaluation credits reset monthly and do not roll over. Unused credits expire at the end of each billing period.
If you use your own API keys for OpenAI or Anthropic:
Cost Transparency: While we display estimated token usage during evaluations, these are estimates only. Actual charges are determined by your API provider. We are not responsible for discrepancies between displayed estimates and actual provider charges.

The Service, including its design, features, code, and content (excluding your data), is owned by Latent Ventures LLC and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without permission.
You retain ownership of all prompts, evaluation data, and content you submit to the Service ("Your Content"). By using the Service, you grant us a limited license to process Your Content solely to provide the Service.
If you provide feedback or suggestions about the Service, we may use them without obligation to you.
The Service integrates with third-party providers including:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
AI-generated evaluations and suggestions are automated and may contain errors. You are responsible for reviewing and validating all outputs.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LATENT VENTURES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to indemnify and hold harmless Latent Ventures LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

By Us: We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice.

Governing Law: These Terms are governed by the laws of California, USA, without regard to conflict of law principles.
Dispute Resolution: Any disputes shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property violations.
Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Latent Ventures LLC.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
Waiver: Our failure to enforce any right or provision does not constitute a waiver.
Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations freely.
